The service known as "RentalPro Online Rental Management System" (RENTALPRO) being provided by ZePortal.com Limited (ZEPORTAL.COM) is accessed through the web site www.hkrentalpro.com. Your use of the RENTALPRO service is subjected to the following "Terms of Service" (TOS). Further modifications or additions to the service will also be subjected to the TOS. ZEPORTAL.COM reservs the rights to change and update the following TOS without any further notices.

In this TOS, the term "you" refers to the person who register an account in RENTALPRO and all those who can gain access to RENTALPRO using the login identifiers (LOGIN ID's) created under the registered account.

ZEPORTAL.COM, at its discretion, may modify, suspend or discontinue RENTALPRO without notice. You agree that ZEPORTAL.COM shall not be liable to you or any third party for any modification, suspension or discontinuation of RENTALPRO.

When you register an account with RENTALPRO, you agree to provide true, accurate and current information for the registration, and continue to maintain the registration information to be true, accurate and current. You further acknowledge and agree that ZEPORTAL.COM has the right to suspend or terminate your account if you fail to or are suspected failing to comply with the above.

You agree that ZEPORTAL.COM has the right to suspend or terminate your account, or deny your access to RENTALPRO at its discretion, without notice. Upon termination of your account, all data stored or associated under your account may also be deleted without notice. You further agree that ZEPORTAL.COM shall not be liable to you or any third party for the suspension or termination of your account, or the deletion of data in your account, or the denial of your access to the RENTALPRO.

You acknowledge and agree that upon the termination of your account or the denial of your access to RENTALPRO, your prepaid subscription fee will be refunded on a pro-rata basis..

The RENTALPRO service provided to the users of the registered accounts is based on pre-paid subscriptions. ZEPORTAL.COM may or may not provide free-trials for any specific period of time. When a free-trial is being provided and upon the termination of the free-trial, ZEPORTAL.COM's, at its discretion has the right to suspend or terminate your account if you fail to pay the pre-paid subscription fee for further use of the service.

You acknowledge that you are responsible for the confidentiality of your user LOGIN ID's and passwords. You are also fully responsible for all activities occurred under your account. In order to protect the confidentiality of your user LOGIN ID's and passwords, you agree to logout at the end of each session, not to leave any login session unattended and to report any unauthorized use or suspected unauthorized use of your account to ZEPORTAL.COM immediately. You further agree to indemnify ZEPORTAL.COM for any loss or damage arising from any unauthorized use or suspected unauthorized use of your account.

You agree NOT to use RENTALPRO to engage in any of the following activities:

1. impersonating any person or entity, or misrepresenting your affiliation with a person or entity;
2. forging or modifying any identifiers or headers to disguise the origin when accessing RENTALPRO.
3. disrupting the normal operation of or access to RENTALPRO;
4. interfering with or disrupting the normal operations of the RENTALPRO servers or networks connected to such servers;
5. intentionally or unintentionally violating any applicable law of the HONG KONG SPECIAL ADMINISTRATIVE REGION, local, national, or international law and regulations;
6. reproducing, duplicating, modifying, selling, reselling, or commercially exploiting all or part of the RENTALPRO software downloaded from the RENTALPRO servers, the use of or the access to RENTALPRO.

You acknowledge and agree that ZEPORTAL.COM may preserve and disclose the information identifying the individual when required by law or when it is deemed reasonably necessary to

1. protect the rights and properties of ZEPORTAL.COM;
2. protect ZEPORTAL.COM and/or its users against possible legal proceedings;
3. comply with legal proceedings involving ZEPORTAL.COM or its users;
4. enforce the observance of the TOS;
5. protect the personal safety of the public, including but not limited to the employees, officers, agents and users of ZEPORTAL.COM.

You agree to indemnify ZEPORTAL.COM, its employees, officers, agents, partners and affiliates, from any claim or demand made by any third party due to or as a result of the use of or access to RENTALPRO, your violation of the TOS, and your violation of another's rights or any applicable laws. You further agree to indemnify ZEPORTAL.COM, its employees, officers, agents, partners and affiliates, from any loss or damages, including but not limit to legal costs and lawyers' fees, due to the claim and demand made any third party as in above.

You acknowledge that ZEPORTAL.COM may establish limits on the use of the RENTALPRO, including but not limited to:

1. the number of times and the duration of which you can access RENTALPRO within a given period of time;
2. the amount of disk space to be allocated under your RENTALPRO account;
3. the duration of inactivity within a session before your connection is terminated;
4. the number of days entered data to be retained in the RENTALPRO servers.

You further acknowledge that ZEPORTAL.COM has the right to change the established limits at its discretion, without notice.

You agree that ZEPORTAL.COM is not liable to you or any third party for any deletion of or failure to transmit or retain of data entered through RENTALPRO.

You acknowledge and agree that software and web pages downloaded from the RENTALPRO servers to be used in connection with RENTALPRO are the intellectual properties of ZEPORTAL.COM. You agree NOT to:

1. discover or reverse engineer the source code of the web pages and related software;
2. modify the the web pages and related software in any manner or form;
3. use modified versions of the the web pages and related software for any unauthorized purposes including but not limited to, obtaining connection to the RENTALPRO servers;
4. make connection to the RENTALPRO servers by any means other than using the unmodified web pages and related software that is approved by ZEPORTAL.COM.

You acknowledge and agree that:

1. RENTALPRO is provided on a "AS-IS" basis and ZEPORTAL.COM does not provide warranties of any kind, whether explicitly or implicitly;
2. you use RENTALPRO at your own risk;
3. ZEPORTAL.COM does not provide any warranties that RENTALPRO will meet your requirements or expectations;
4. ZEPORTAL.COM does not guarantee that the processing provided or performed by RENTALPRO will be error free, reliable, or known errors be corrected;
5. ZEPORTAL.COM does not guarantee that data entered by you into RENTALPRO will be retained error free, reliable, and complete;
6. you download or obtain any material from or through RENTALPRO at your own risk: you will be solely responsible for any loss or damage as a result of using such material.

You acknowledge and agree that ZEPORTAL.COM shall not be liable for any loss or damage of any kind, including but not limited to financial, use, data, other tangible or non-tangible loss, as a result of:

1. using or accessing the RENTALPRO;
2. the inability to use or access to the RENTALPRO;
3. the suspension or termination of your account or the inability to set up an account in the RENTALPRO;
4. transactions conducted within or using the RENTALPRO;
5. unauthorised access to or modification of your transmissions and data;
6. the conduct or activities of a third party on the RENTALPRO;
7. the information, data or material provided by ZEPORTAL.COM through RENTALPRO;
8. any other matter relating to RENTALPRO.
